These Terms of Service ("Terms") govern access to and use of AcquireLens (the "Service"), provided by Scarano Business Solutions LLC, a Texas limited liability company ("Company", "we", "us"). By creating an account or using the Service, you agree to these Terms.
1. Eligibility & Accounts
You must be at least 18 years old and legally able to enter into a binding contract. You are responsible for maintaining the confidentiality of your account credentials and for all activity conducted under your account.
2. License to Use
Subject to these Terms, Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.
3. Your Content & Inputs
You retain ownership of the business, financial, seller, and deal information you submit ("User Content"). You grant Company a worldwide, royalty-free license to host, process, transmit, and display User Content solely to operate, maintain, and improve the Service for you. You represent that you have the rights to submit each item of User Content.
4. AI-Assisted Outputs
Portions of the Service use machine-learning models to generate summaries, risk assessments, negotiation prompts, and diligence questions. AI outputs are decision-support tools only. They may be inaccurate, incomplete, or out of date. You must independently verify every material claim before relying on it.
5. No Professional Advice
The Service does not provide legal, tax, accounting, valuation, or investment advice. Present every report to your own qualified CPA, attorney, lender, and investment committee before signing a letter of intent or closing a transaction.
6. Acceptable Use
Your use of the Service is subject to the Acceptable Use Policy, which is incorporated by reference. Violations may result in suspension or termination.
7. Fees & Billing
Paid plans are billed as described at checkout and in the Billing & Refund Policy. You authorize Company and its payment processors to charge the payment method on file.
Promotions and complimentary analyses
One complimentary full analysis per person or organization. Additional accounts created to obtain additional complimentary analyses are not eligible. Promotional access may be limited in cases of suspected abuse. The complimentary analysis is available inside the AcquireLens AI application; downloadable, exportable and shareable reports require a paid plan.
8. Intellectual Property
The Service, including software, models, templates, methodology, and branding, is owned by Company and its licensors and is protected by intellectual-property laws. AcquireLens™ is a trademark of Scarano Business Solutions LLC, a Texas limited liability company. Nothing in these Terms transfers ownership to you.
9. Third-Party Services
The Service may integrate with third-party providers (for example, authentication, hosting, model, and payment providers). Your use of those services is subject to their own terms.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF AI OUTPUTS.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. COMPANY'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO COMPANY IN THE 12 MONTHS PRECEDING THE CLAIM, OR USD $100 IF YOU HAVE NOT PAID ANY AMOUNTS.
12. Indemnification
You will defend, indemnify, and hold harmless Company from and against any claims arising from your User Content, your use of the Service, or your breach of these Terms.
13. Termination
Either party may terminate the Service at any time. Upon termination, your right to access the Service ends. Sections that by their nature should survive termination will survive.
14. Governing Law & Venue
These Terms are governed by the laws of the State of Texas, without regard to conflict of laws principles. The exclusive venue for disputes is the state or federal courts located in Texas.
15. Changes
Company may update these Terms from time to time. Material changes will be communicated through the Service or by email. Continued use after changes take effect constitutes acceptance.
